Is the 2005 version worth upgrading from 2004?

I'd say maybe.
To the OP: whether or not upgrading to the latest version is "worth" it to
you is completely up to you. Is there one feature you'd pay the upgrade
price just to have? Are there several features you wanted to see and that
could really save you time and/or frustration?
Take a look at the 2005 package info on QB's website and then decide if
upgrading is worth it to you. At this point I'd say likely not because
we'll be seeing 2006's release before too long.

At this point don't bother with the 2005.
Wait for 2006 edition, apparently some of the import/export
features will be improved.
2006 should come out for sale in the mid winter.

I'm willing to bet that less than 1% of QB users ever use the Import/Export
features.

The 2006 version is being touted as "vastly different" from the 2005
version. This, I suggest, is another reason to hang on.
Looking through the list of changes made in a version is helpful in
deciding whether any changes relevant to you have been made, but the
list never seems to be complete - and of course it does not list
anything that was right but was "fixed" in the new version and now no
longer works properly. So it makes sense to ask other users what their
experience with the new version has been.
Personally, I tend to find it quite adequate to upgrade every three
years or so. But if I were to see a new feature that is important to
me in a new version, or the correction of a defect that particularly
bugs me, that would be sufficient reason to cause me to buy that
upgrade.

Apparently one can import one's data from QB 2004 but not 2005 into MS
Small Business Accounting. You may therefore want to wait a bit to
read some comparative evaluations of QB and SBA in case SBA has
something you want enough to make the move.
